# The Offering

Tokenize Mines, Corp. is raising at the company level through two instruments, both offered under **Regulation D Rule 506(c)** (verified accredited investors) and **Regulation S** (non-U.S. persons).

### TMRT — TM Revenue Token

A revenue-participation security.

* **Fixed supply:** 1,000,000,000 tokens.
* **Allocation:** 50% Business Development & Marketing · 30% Software Development · 20% Founders.
* **Founder schedule:** 5-year quarterly leak-out — 10,000,000 per quarter across 20 tranches.
* **Distributions:** pro rata across issued, released, and outstanding tokens only.
* **Character:** capped and self-liquidating — not perpetual equity.

### TMCS — Tokenized Common Stock

Common stock of the company, issued as ERC-3643 certificate tokens outside the T-MINES platform.

* **The token is the share.** An SEC-registered Transfer Agent is the authoritative record-keeper.
* Holders are direct shareholders of record (no depositary).
* Secondary trading is restricted to a national securities exchange, a registered ATS, or a broker-dealer.
